1. Assignment – You may not assign, transfer or subcontract your rights or obligations under these Terms without our prior written consent. Chemrez may assign its rights and obligations to any affiliate or successor in interest.

2. Severability – If any provision of these Terms is held to be invalid, unenforceable or illegal by a court of competent jurisdiction, that provision will be struck out and the remaining provisions will remain in full force and effect.

3. Entire Agreement – These Terms and any order confirmation, product specification, Invoice and our Privacy Policy constitute the entire agreement between you and Chemrez concerning your use of the Website and purchase of Products, and supersede all prior proposals, negotiations or communications (oral or written) relating thereto.

4. Independent Contractors – The relationship between you and Chemrez is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between the parties.
